Acceptance of Terms
Spexster ("Spexster," "we," "us," or "our") provides you access to the Spexster website and platform, including all content, tools, features, and services available at spexster.com (the "Site"), subject to your compliance with the terms and conditions set forth herein (the "Terms"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Site.
Your continued use of the Site constitutes a legally binding agreement between you and Spexster. These Terms apply to all visitors, registered users, creative professionals, brands, agencies, and production teams who access or use the Site.
The Spexster Platform
Spexster is a production-focused platform that connects creative professionals — including filmmakers, photographers, videographers, editors, and other production crew — with brands, agencies, and production teams seeking their services. The platform provides tools for crew discovery, job posting, hiring, messaging, and portfolio showcasing.
Spexster acts as a marketplace and facilitator. We do not employ, manage, or supervise the creative professionals on the platform. All engagements between users are independent arrangements between the parties involved.
Account Registration & Responsibilities
To access certain features of the Site, you must register for an account. When registering, you agree to:
- Provide accurate, current, and complete information
- Maintain and update your information to keep it accurate and current
- Maintain the security of your password and account credentials
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
You must be at least 18 years of age to create an account. Spexster reserves the right to suspend or terminate accounts that violate these Terms or contain false or misleading information.
User Conduct
You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:
- Reproduce, duplicate, copy, sell, or exploit any portion of the Site for unauthorized commercial purposes
- Use Spexster's name, trademarks, or branding in connection with unsolicited communications or spam
- Post content that is obscene, fraudulent, defamatory, harassing, or threatening
- Upload or transmit viruses, malware, or any harmful code
- Attempt to gain unauthorized access to any portion of the Site or its systems
- Interfere with or disrupt the Site or the servers and networks connected to the Site
- Scrape, crawl, or use automated means to access the Site without our express written permission
- Infringe on the intellectual property rights of Spexster or any third party
- Violate the privacy of other users
- Violate any applicable local, state, national, or international law
Intellectual Property
All text, graphics, multimedia content, logos, icons, layouts, software, and other material available on the Site ("Materials") are the property of Spexster and/or its affiliates or licensors and are protected by copyright, trademark, and other intellectual property laws.
You may not copy, reproduce, republish, upload, post, transmit, distribute, modify, sell, or commercially exploit any Materials without the prior written consent of Spexster, except that you may download one copy of the Materials on a single device for your personal, non-commercial use, provided you keep intact all copyright and proprietary notices.
User-Generated Content
You retain ownership of any content you upload to the Site, including profile information, portfolio samples, demo reels, and job posts ("User Content"). By uploading User Content, you grant Spexster a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your User Content solely for the purpose of operating and improving the platform.
You represent and warrant that you own or have the necessary rights to all User Content you submit and that such content does not violate the rights of any third party.
Trademarks
"Spexster" and the Spexster logo are trademarks of Spexster. All other trademarks, service marks, and logos used on this Site, with or without attribution, are the trademarks, service marks, or logos of their respective owners. Nothing on this Site should be construed as granting any license or right to use any trademark without the written permission of its owner.
Third-Party Links & Services
The Site may contain links to third-party websites, services, or resources. Spexster does not control, endorse, or assume responsibility for the content, privacy policies, or practices of any third-party sites. You acknowledge and agree that Spexster shall not be responsible or liable for any damage or loss caused by or in connection with the use of any third-party content, goods, or services.
Spexster is not responsible for transactions conducted between you and any third party, including the quality of services performed, product liability, or any legal claims arising from such interactions. Any disputes with third parties are solely between you and that party.
Payments & Fees
Certain features of the Site may require payment. All fees are stated in the currency displayed at the time of purchase and are non-refundable unless otherwise specified. By providing payment information, you represent that you are authorized to use the payment method and authorize Spexster to charge the applicable fees.
Spexster reserves the right to change pricing at any time. Any price changes will be communicated in advance and will not affect previously completed transactions.
Disclaimer of Warranties
The Site and all content, materials, information, and services provided on or through the Site are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. To the fullest extent permitted by law, Spexster disclaims all warranties, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Spexster does not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. You assume total responsibility and risk for your use of the Site.
Limitation of Liability
Under no circumstances shall Spexster, its affiliates, subsidiaries, or their respective officers, directors, employees, agents, or partners be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to the Site, the services available on the Site, or information contained within the Site, even if advised of the possibility of such damages.
Spexster's total liability under these Terms shall not exceed the total amount paid by you, if any, for use of the Site during the twelve (12) months preceding the claim. Your sole remedy for dissatisfaction with the Site is to stop using it.
Indemnification
You agree to indemnify and hold Spexster, its affiliates, subsidiaries, and their respective officers, directors, employees, agents, and partners harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the Site, your violation of these Terms, or your violation of any rights of another party.
Termination
Spexster may, in its sole discretion and without prior notice, suspend or terminate your access to the Site, your account, or any functionality or feature of the Site at any time and for any reason, including but not limited to violation of these Terms. Upon termination, your right to use the Site will immediately cease.
Governing Law & Jurisdiction
These Terms shall be governed by, construed, and enforced in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. You agree that any lawsuit or other action brought in connection with these Terms or the Site shall be subject to the exclusive jurisdiction of the state or federal courts located in Los Angeles County, California.
Severability
If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.
No Waiver
Any delay or failure on the part of Spexster to enforce any right under these Terms shall not constitute a waiver of the right to do so at any subsequent time.
Modifications
Spexster reserves the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of the Site after any modifications constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
